Agreement to Our Legal Terms

We are Socrazi ("Company," "we," "us," "our"), operating the website https://socrazi.com (the "Site"), as well as any related products and services (collectively, the "Services").

These Legal Terms constitute a legally binding agreement between you and Socrazi. By accessing the Services, you agree to be bound by these Legal Terms. IF YOU DO NOT AGREE, YOU MUST DISCONTINUE USE IMMEDIATELY.

1. Our Services

Socrazi provides a social media scheduling platform that helps you create, manage, schedule, publish, analyze, and manage supported comments or replies for social media content.

The Services are not tailored to comply with industry-specific regulations (HIPAA, FISMA, etc.). If your use would be subject to such laws, you may not use the Services.

2. Intellectual Property Rights

Our IP: We (or our licensors) own all intellectual property rights in Socrazi, including software, design, and branding. You may not copy, modify, or distribute any part except as allowed in these Terms.

Your content: You own the content you create through Socrazi. We do not claim ownership of your content, and we only store it as needed to provide the service.

3. User Representations

By using the Services, you represent that:

  • All registration information is true, accurate, and current
  • You have legal capacity to agree to these Terms
  • You will not use the Services for illegal purposes
  • Your use complies with all applicable laws

4. User Registration and Account Security

You may be required to register to use the Services. Keep your password confidential. You're responsible for all activity under your account. We may remove usernames deemed inappropriate.

5. Purchases and Payment

We accept Visa, Mastercard, American Express, and Discover via Stripe.

You agree to provide accurate payment information and keep it updated. Prices may change at any time. All payments are in US dollars unless otherwise specified.

6. Subscriptions

Billing: Subscriptions automatically renew unless canceled. You consent to recurring charges.

Cancellation: All purchases are non-refundable. Cancel anytime from your account settings. Cancellation takes effect at the end of the current billing period.

7. Third-Party Integrations

You may connect third-party accounts (YouTube, TikTok, Instagram, LinkedIn, X, Threads) to Socrazi. By doing so, you authorize Socrazi to request, store, refresh, and use access tokens and account data as needed to provide the Services you request, including publishing, uploading, scheduling, syncing analytics, displaying connected account details, and managing supported comments or replies.

You remain responsible for the content you publish, the accounts you connect, your right to manage those accounts, and your compliance with each third-party platform's terms, policies, rate limits, community rules, advertising rules, and developer requirements. You can disconnect integrations at any time from Socrazi settings, but revoking access from the platform itself may also be required.

Third-Party API Compliance: When using Socrazi's integrations, you agree to comply with the terms of service and API policies of each connected platform, including but not limited to:

  • Google API Services User Data Policy, Google API Services Terms of Service, YouTube API Services Terms of Service, YouTube Developer Policies, and YouTube Terms of Service. You authorize Socrazi to use YouTube upload, read-only, force-SSL, OpenID, email, and profile permissions only for the YouTube features you request.
  • TikTok Developer Terms, TikTok API Terms, TikTok community and content policies, and any TikTok requirements for video upload, video publishing, profile access, video lists, and account statistics.
  • Meta Platform Terms, Meta Developer Policies, Instagram Platform/API terms, Threads Platform/API terms, and any Meta requirements for Instagram Business publishing, comments, insights, Threads publishing, replies, and insights.
  • X Developer Agreement, X Developer Policy, X Rules, automation rules, display requirements, and API restricted-use rules. You authorize Socrazi to take posting, media upload, read, and token-refresh actions only for the X features you request.
  • LinkedIn API Terms of Use, LinkedIn professional community policies, and any LinkedIn requirements for personal profile posting, organization/page administration, organization social posting, organization comment management, and organization post analytics.
  • API Usage and Limitations: Your use of Socrazi's integrations is subject to third-party platform approval, review status, rate limits, quotas, permissions, token expiry, policy changes, account status, and API availability. Socrazi is not responsible for limitations, suspensions, revocations, removals, delays, failed posts, missing analytics, or terminations imposed by third-party services.

8. Prohibited Activities

You may not:

  • Systematically extract data to build competing services
  • Interfere with or bypass security features
  • Use the Services to harm others or violate laws
  • Upload malicious code or viruses
  • Impersonate others or misrepresent your identity
  • Reverse engineer our software
  • Use automation to disrupt the service
  • Share your account credentials

9. Services Management

We reserve the right to monitor the Services, take action against violations, restrict access, remove content, or manage the Services to protect our rights and users.

10. Privacy Policy

Please review our Privacy Policy. By using the Services, you agree to our Privacy Policy.

11. Term and Termination

These Terms remain in effect while you use the Services. We may terminate access for any reason, including breach of these Terms or applicable law.

12. Modifications

We may change the Services or these Terms at any time. We'll notify you of significant changes. Continued use constitutes acceptance of modified Terms.

13. Governing Law

These Terms are governed by Japanese law. Disputes will be resolved in Tokyo, Japan.

14. Disclaimer

The Services are provided "as-is" and "as-available." To the fullest extent permitted by law, we disclaim all warranties, express or implied.

15. Limitations of Liability

We will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, or data.

16. Indemnification

You agree to defend and hold us harmless from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

17. Electronic Communications

You consent to receive electronic communications from us. All agreements, notices, and communications provided electronically satisfy legal requirements for written communication.
